Terms of Service

By accessing or using ControlNexus ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is operated by Victor Yax doing business as ControlNexus, located in Fort Collins, Colorado ("we," "us," or "our").

ControlNexus is a compliance tracking and evidence management platform designed for Managed Service Providers (MSPs) and compliance consultants. The Service allows users to track compliance control status, upload evidence files, manage client workspaces, and generate compliance reports.

ControlNexus is a compliance implementation tracking tool. It does not certify, guarantee, or warrant that use of the Service will result in achieving any compliance certification or passing any audit.

You must create an account to use the Service. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account

You must be at least 18 years old to use the Service.

Free Trial

New accounts receive a 14-day free trial with access to Professional plan features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

Paid Subscriptions

Paid subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days notice before any price change takes effect for existing subscribers.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload malicious files or code
• Attempt to gain unauthorized access to any part of the Service or another user's account
• Interfere with or disrupt the Service or its infrastructure
• Misrepresent your identity or affiliation
• Use the Service to store, process, or transmit data in violation of applicable privacy laws

You retain ownership of all data, files, and content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

We do not sell Your Content to third parties. We do not use Your Content to train AI models.

You are responsible for ensuring that Your Content does not violate any applicable law or third-party rights.

We implement reasonable technical and organizational measures to protect your data. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security of your data.

In the event of a data breach that affects your account, we will notify you as required by applicable law.

The Service uses a shared database infrastructure with row-level security controls to isolate each customer's data. Your data is logically separated from other customers' data. We do not share your data with other customers.

The Service, including its software, design, and content, is owned by Victor Yax doing business as ControlNexus and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the Service without our prior written consent.

The Service integrates with third-party services including Stripe for payment processing and Supabase for data storage. Your use of these services is subject to their respective terms of service and privacy policies.

The Service is provided "as is" without warranty of any kind, express or implied. We specifically disclaim any warranty that use of the Service will result in compliance certification or audit passage.

To the maximum extent permitted by applicable law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless Victor Yax doing business as ControlNexus from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your account at any time for violation of these Terms. You may terminate your account at any time by canceling your subscription and contacting us to request deletion.

Upon termination, your data will be retained for 30 days and then deleted, unless we are required by law to retain it longer.

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Larimer County, Colorado.

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
